Terms of Service

Please read these Terms of Service ("Terms") carefully before downloading, installing, or using ApiMeld ("the Software"). By installing or using the Software, or by clicking "I agree" within the application, you agree to be bound by these Terms. If you do not agree, do not install or use the Software.

1. The Software

ApiMeld is a self-hosted task scheduling application that allows users to write and execute scripts that call web-based APIs and other resources. The Software is licensed, not sold. Your rights to use the Software are governed by the license key issued to you.

2. License Grant

Subject to these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable license to install and use the Software on systems you own or control, solely for your internal business or personal purposes. You may not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Software or make it available to any third party.

3. Trial License

A trial license is valid for 30 days from the date of issue. Trial licenses are for evaluation purposes only. At the end of the trial period, access to the Software will be suspended until a paid license is activated. Trial licenses may not be used in production environments handling sensitive or personal data.

4. Restrictions

You agree not to:

  • Use the Software for any unlawful purpose or in violation of any applicable law or regulation
  • Use the Software to access, transmit, or store data without appropriate authorization
  • Attempt to reverse engineer, decompile, disassemble, or derive source code from the Software (except to the extent permitted by applicable law)
  • Remove or alter any proprietary notices, labels, or marks on the Software
  • Use the Software to develop a competing product or service

5. Self-Hosted Deployment

ApiMeld runs entirely on your own infrastructure. You are solely responsible for:

  • The security, configuration, and maintenance of the systems on which you deploy the Software
  • Ensuring the Software is not exposed to unauthorized users or the public internet without appropriate security controls
  • All data processed, stored, or transmitted by or through the Software, including compliance with applicable data protection laws
  • Backups and recovery of your data

The Software is designed for internal use on secured, private networks. Deploying the Software on a publicly accessible server without appropriate authentication, firewall rules, and security hardening is done entirely at your own risk.

6. Script Execution

The Software allows users to write and execute scripts. You are solely responsible for all scripts created or executed using the Software, including their content, behavior, and any consequences of their execution. We are not responsible for any damage, data loss, service disruption, or security incident caused by scripts run through the Software.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ANY WARRANTY THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • ANY WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF RESULTS OBTAINED FROM USE OF THE SOFTWARE
  • ANY WARRANTY THAT DEFECTS WILL BE CORRECTED

No advice or information, whether oral or written, obtained from us shall create any warranty not expressly stated in these Terms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS, OR ANTICIPATED SAVINGS
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR SYSTEMS
  • DAMAGES ARISING FROM THE CONDUCT OR SCRIPTS OF ANY USER OF THE SOFTWARE
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of or access to the Software; (b) your violation of these Terms; (c) any scripts, automations, or workflows you create or execute using the Software; (d) your violation of any third-party rights; or (e) any security incident, data breach, or unauthorized access occurring on systems you control.

10. Security Incidents

If you believe you have discovered a security vulnerability in the Software, please report it responsibly by emailing support@apimeld.com. We will make reasonable efforts to address confirmed vulnerabilities in a timely manner. We are not liable for security incidents resulting from your deployment configuration, network environment, or failure to apply available updates.

11. Updates and Support

We may release updates, patches, or new versions of the Software from time to time. Your license entitles you to updates released during your active license period. Support is provided on a best-efforts basis. We do not guarantee response times or resolution of any particular issue.

12. Termination

These Terms are effective until terminated. Your rights under these Terms will terminate automatically if you fail to comply with any of their terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections 5 through 14 shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Software shall be resolved in the state or federal courts located in Utah County, Utah, and you consent to the personal jurisdiction of such courts.

14. General

  • Entire Agreement. These Terms constitute the entire agreement between you and us regarding the Software and supersede all prior agreements and understandings.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Changes. We reserve the right to modify these Terms at any time. Continued use of the Software after changes constitutes acceptance of the revised Terms. We will update the "Last updated" date above when changes are made.
